KPMG Equity Capital Markets (ECM) Advisory supports and guides clients through any kind of equity raising in the capital markets – be it an initial public offering (IPO); raising new equity for a listed company via a placing or pre-emptive offering; or selling a stake in a quoted company in the public markets via a block sale. Our clients include private companies, public companies, company shareholders, and potential investors.

Our transaction approach is bespoke. We assemble multi-disciplinary teams to provide a customised advisory approach for each transaction. Our advice is comprehensive, rooted in decades of deal experience, free of conflicts and completely focused on our clients’ objectives. We work in collaboration with investment banks and corporate brokers, private equity firms, institutional investors and legal advisors to help achieve optimal results for our clients.

Our integrated advisory approach focuses on two key objectives:

  • Value maximisation – We aim to ensure the achieved issue value represents fair value for your company in the context of an IPO or that offering terms are optimised in the context of a follow-on transaction.
  • Process certainty – ECM transactions are complex to prepare and often include various interdependent workstreams; our expert teams help make certain that these workstreams are completed independent of vested interests, to the highest professional standards, on time and on budget.

Our ECM advisory teams are populated almost exclusively with ex-ECM investment bankers who can guide and advise, drawing on a wealth of experience gained on the other side of the table. We advise clients on: transaction feasibility; preparedness; documentation; structure; equity story; timing; appointment and management of other parties; execution; investor education; pricing and allocation.

For privately-owned businesses, we work closely with our partners in KPMG’s M&A, transaction services, private equity and industry groups to provide clients with a comprehensive and independent evaluation of strategic ‘exit’ options. Where appropriate, we will design multi-track processes to test appetite across public market, trade and private-equity investor audiences.

We work closely with KPMG Makinson Cowell to bring clients independent and unfiltered insights from the institutional investor community, to enhance the marketing of a transaction and to bring decades of experience of investor relations best practice to help ensure a smooth transition to life as a listed company.
