Graham is Head of Sale and Purchase Agreements Advisory, and Co-Head of Mobility 2030 (AV, EV, and Mobility as a Service)
As head of SPA advisory, Graham leads our team driving value on clients' M&A transactions by identifying and negotiating deal issues and value, and working to ensure these are dealt with robustly in the sale and purchase agreement (SPA). He also supports clients in negotiating price adjustments and disputes following completion of transactions. Graham has over 20 years’ experience supporting clients to execute transformational deals. Over this period, Graham has assisted clients to negotiate agreements and completion price adjustments on several hundred completed transactions, helping deliver measurable value to his clients, in terms of negotiated equity value or price adjustments, of over $1 billion.
On Mobility, Graham is a member of the steering group of our Mobility 2030 team. The team is passionately committed to supporting transformational change in mobility - the way we move people and goods - with the aim of realising the opportunity from autonomous, connected, electric vehicles: Zero crashes, zero emissions, zero congestion. Graham is closely involved supporting clients in the mobility ecosystem develop their strategies to deal with disruptive market change, and to acquire the necessary skills and capabilities through strategic partnerships and acquisitions. Recent projects include supporting the acquisition of ride hailing and mobility services businesses by strategic acquirers, the sale of an innovative low carbon vehicle manufacturer to a major OEM, due diligence on EV powertrain technology businesses, working on strategy and cost base with one of Europe’s largest mobility service providers, and supporting successful applications for government grant support for major capital investment. He has also worked on projects with a number of European, Japanese and Chinese OEMs, with a number of tier 1 and tier 2 suppliers to the automotive industry, with Auto retail and distribution businesses, and with fleet management (VMAS) providers and vehicle resellers.
He has particular experience in assisting clients to resolve the detail of complex cross border transactions, with examples including the sale of Jaguar, Land Rover and Aston Martin by Ford; the creation of a major automotive joint venture in Russia; the joint acquisition of a major US consumer brands business by two European strategic buyers (and subsequent split of the business between them); the carve out disposal of significant parts of the product portfolio and manufacturing footprint of a global manufacturing group, across 8 European countries; and the acquisition of major European beer brands, as a series of complex carve out transactions, by a large Asian brewing group.
