Goal: legally safe and tax efficient exit strategy for the Crimean businesses. The transaction should be optimally structured from both the Ukrainian and Russian laws perspective.

  • legal and tax structuring of the transaction
  • pre-sale legal and tax due diligence and restructuring procedures (if necessary)
  • preparation of the transaction documentation
  • participation in negotiating process with potential buyers
  • assistance in closing the transaction (obtaining necessary permits, re-registration of shares (participation interests), etc.


4. Liquidation of business

Goal: legally safe and tax-efficient return of investment (capital) as a result of the liquidation of business in the Crimea.



Scope of services:

  • legal assistance in pre-liquidation procedures (including termination of contracts, staff reduction, sale of assets, settlement of liabilities)
  • complex assistance in liquidation procedures (including preparation of corporate documents, assistance in the course of audits of controlling authorities and deregistration procedures)
