Board and Commitees Evaluation

Increasing Boards and their Committees efficiency allows a company to better to external challenges and opportunities.

Evaluate your Board and its Committees and get recommendations on their efficiency...

KPMG evaluates Boards of Directors and their committees and puts forward recommendations on how to increase their efficiency.

Boards of Directors and their committees play a key role in companies’ performance results, defining the nature of the business and further areas for development. Economic factors and legal regulations set new challenges for Boards of Directors, making their role more important and widening their scope of responsibilities. In our experience, increasing the efficiency and effectiveness of Boards of Directors and their committees allows a company to better respond to external challenges and opportunities.

Regular evaluations of Boards of Directors and their committees improve the quality of decision-making, ensure compliance with Russian and international standards, enhance shareholder confidence in the Board of Directors, and contribute to a company’s investment attractiveness.

KPMG has the methodologies and instruments in place to perform comprehensive evaluations of Boards of Directors and their committees, which are based on both international best practice and KPMG applications. The evaluation procedure comprises the following steps:

  • specifying and approving evaluation criteria, taking into account a company’s specific features, its Board of Directors, and the structure and composition of committees;
  • selecting data sources and elaborating data collection forms; (questionnaires for board members / top management / shareholders etc.);
  • collecting information on Boards of Directors and their committees’ performance (meeting minutes, reports, etc.);
  • surveys and questionnaires for participants of corporate relations (board members, top management, shareholders etc.);
  • analysing collected data for compliance with external requirements and expectations, as well as internal goals and the company’s needs;
  • preparing a report and making recommendations on improving the Board of Directors and their committees’ performance.
