Buy-Side Transactions

KPMG's Buy-Side Transaction services help companies pursuing acquisitions assess their growth strategy and related financial, tax and operational risks. Separation Services

  • Separation program planning: Strive to minimize the impact to the remaining business by developing plans that are linked to the deal timetable to support the separation and prepare for deal close
  • Separation perimeter: Work with clients to develop a model that outlines the assets, people, operations, contracts and systems that are transferring with the carved-out business, as well as those that support the business but are not transferring
  • Transition Service Agreements (TSAs): Work with clients to develop and negotiate TSAs with terms to control pricing and limit extension clauses to allow quick and orderly exit
